No Endorsement or Verification
PerfectlyOkay does not sponsor, recommend, or verify any User, their credentials, or content. We do not screen or monitor User communications or contributions. You are solely responsible for evaluating the identity, integrity, and reliability of any other User with whom you interact.
Any legal claim or dispute arising from actions of another User must be pursued directly against that User. By using the Platform, you agree to indemnify and hold us harmless from any claims or damages resulting from your interactions with other Users or third parties.

You are solely responsible for any information, messages, or materials ("User Content") that you transmit or post on the Platform. By sharing such content, you confirm that:

Nothing on the Platform grants you any license or right to use our intellectual property, either by implication, estoppel, or otherwise.

User License

By engaging with these advertisements, you acknowledge that PerfectlyOkay is not responsible for the content, privacy practices, or actions of third-party advertisers. You are solely responsible for any interactions, communications, or transactions with these advertisers.
Confidentiality
"Confidential Information" refers to any information shared by one party (e.g., PerfectlyOkay, Sites, Brands, or Users) to another, whether communicated in writing, verbally, or through inspection of tangible objects, unless the information can be proven to be:
- Publicly known and available before the disclosure;
- Made public after disclosure through no fault of the receiving party;
- Already in the possession of the receiving party without confidentiality restrictions, as evidenced by their files and records.
The receiving party agrees to:

Indemnification
You agree to defend, indemnify, and hold harmless PerfectlyOkay, its subsidiaries and affiliated entities, along with their respective employees, directors, and officers (collectively referred to as "PerfectlyOkay Entities"), and their licensors, partners, contractors, agents, attorneys, service providers, and content sources from any claims, expenses, liabilities, and legal fees that arise from:
- Your provided information or materials
- Your usage of the Platform or Service
- Any uploaded Content
- Your website
- Any breach of these Terms
You accept full responsibility for defending any claim against PerfectlyOkay and/or any PerfectlyOkay Entity, though we reserve the right to participate with counsel of our choosing. You'll be responsible for paying any resulting damages or losses from claims against us, provided that no settlement imposing obligations on PerfectlyOkay may be reached without our prior written authorization.
Disclaimers

Should any limited remedy herein fail its essential purpose, our liability remains restricted to the maximum extent permitted by law.

General notices may be provided through posts on our Sites or via email to the address you've provided. You are responsible for ensuring all contact information in your account remains current and accurate. We recommend periodically reviewing these Terms for modifications. Unless otherwise specified, any notice from PerfectlyOkay can be delivered through website posting or application notification. For email communications from PerfectlyOkay, the receipt date will be considered the transmission date of such notice.
Choice of Law
The Platform and Sites operate exclusively from Mumbai, India. Our digital properties are "passive" websites that do not establish personal jurisdiction over us outside of Mumbai, India. These Terms are governed by the substantive laws of Maharashtra, India, without regard to conflict of laws principles. You consent to the personal jurisdiction of courts located in Mumbai, India for any action where parties seek injunctive or equitable relief to protect copyrights, trademarks, trade secrets, patents, or other intellectual property rights as outlined in the Dispute Resolution section below.
To the maximum extent permitted by applicable law:
- All disputes arising from these Terms, the Platform, or our Services must be resolved individually without class action proceedings
- Any judgments or awards will be limited to actual, reasonable out-of-pocket expenses incurred, excluding attorney fees
- Users waive all rights to claim punitive, incidental, indirect or consequential damages
- Users forfeit any right to have damages multiplied or increased
- Users agree to waive any claims for damages beyond reasonable and documented expenses
- Any arbitration or legal proceedings must be conducted in Mumbai, India
You acknowledge that any cause of action related to our services or content must commence within one (1) year after the cause arises. After this period, such claims are permanently barred.
Termination
PerfectlyOkay reserves the right, at our sole discretion and without liability to you, to terminate these Terms or your Platform access with or without cause and with or without prior notification. Upon termination, we will promptly transfer any funds under our control that we reasonably determine are owed to you.
You may cancel your account at any time by contacting our support team or following the cancellation process on the Sites. Please note:
- Account termination does not obligate us to delete or return any Content you've posted
- All reviews, feedback, and public contributions may remain on the Platform
- We reserve the right to retain certain information as required by law
- Any pending transactions may be cancelled upon termination
- Access to premium features will cease immediately upon cancellation
Assignment
You may not transfer or assign these Terms, whether by operation of law or otherwise, without PerfectlyOkay's prior written consent. Any attempted assignment without such consent will be void and without effect. PerfectlyOkay may assign or transfer these Terms at its discretion without restriction or limitation. Subject to these conditions, these Terms will bind and benefit the parties, their successors, and permitted assigns.
Severability
These Terms constitute the agreement between PerfectlyOkay and you to the fullest extent permitted by applicable laws, ordinances, rules, and regulations. If any provision within these Terms is deemed invalid or unenforceable for any reason:
- The remaining provisions will continue in full force and effect
- The invalid provision will be enforced to the maximum extent legally permissible
- The invalid portion will be considered severed from these Terms
- A suitable replacement provision that best matches the parties' intent will be substituted where possible
- The fundamental nature of our agreement remains intact despite any unenforceable provisions
Feedback and Reporting Misconduct
We value your suggestions for improving our Platform and Services. You're encouraged to submit comments, ideas, and recommendations (collectively "Feedback") by contacting us.
By submitting Feedback, you acknowledge and agree that:
- All Feedback becomes the exclusive property of PerfectlyOkay
- You irrevocably transfer all rights, title, and interest in your Feedback to PerfectlyOkay
- This transfer includes all worldwide patent, copyright, trade secret, moral and intellectual property rights
- You'll execute necessary documents at our request to help us secure legal protections
- We may implement your Feedback without providing compensation or acknowledgment
- Your suggestions may be similar to ideas we're already developing internally
General Provisions
Our failure to enforce any provision within these Terms doesn't constitute a waiver of future enforcement. Any effective waiver requires written documentation signed by an authorized PerfectlyOkay representative. The exercise of any remedies under these Terms by either party occurs without prejudice to other available remedies.
Additional important provisions:
- If any provision is found invalid or unenforceable, it will be enforced to the maximum extent permissible
- Remaining provisions will continue in full effect despite any unenforceable sections
- Specific areas of the Platform may have additional terms that take precedence in those areas
- By creating an account or accepting these Terms, you execute these Terms electronically
- Your account creation confirms your ability and willingness to electronically receive and access these Terms
- We reserve the right to modify any aspect of our Platform with reasonable notice
Entire Agreement
These Terms represent the complete and exclusive understanding between PerfectlyOkay and you regarding our Services. They supersede all previous oral or written agreements and communications related to the Platform.
Important note: The original, legally binding version of these Terms is written in English. If translated into other languages, whether by humans or software, any discrepancies between versions will be resolved by referring to the English version, which takes precedence over all translations.
